Senior Assistant Corporate Secretary

Purpose:

Under the direction of the Senior Executive Vice President, General Counsel, and Corporate Secretary, the Senior Assistant Corporate Secretary position is responsible for ensuring that the Company's Board of Directors have the proper support and resources for discharging their fiduciary duties, supporting the GC/CS in developing Board agendas based on legal, regulatory, policy, and Board/Committee member requirements, ensuring that the records of the Boards and Board Committees are fully and accurately prepared to appropriately reflect their actions, communicating with the GC/CS, executive management, and the members of the Boards and Board Committees regarding support for their effective governance activities, and overseeing staff supporting the position.

Responsibilities:
 
  • Performing routine and complex administrative and governance support responsibilities, with little to no supervision, in connection with the various duties described herein. 
 
  • Advising the Board on corporate governance matters, including the roles and responsibilities of the Board, changes in regulations, industry and governance trends, and facilitate Board communications.
 
  • Managing Board meeting logistics, including by using electronic board portal for coordination and compilation of Board materials and archives, inviting the appropriate attendees to Board meetings, and reserving meeting space.
 
  • Gathering, creating, compiling, and distributing materials for Board meetings, including, among other things, consents, agendas, resolutions, committee reports, and other materials for Board meetings. 
 
  • Attending, recording decisions, and preparing minutes of Board meetings to accurately reflect the actions and directives undertaken during the course of the meetings.
 
  • Assisting Corporate Secretary as custodian of key corporate documents and official corporate records, including Board meeting materials, minutes, and resolutions, as well as written regulatory reports and communications between the Board and the Company’s regulators, and regularly contributing to auditor, due diligence, and regulator requests for related information and documentation.
 
  • Ensuring properly redacted Board records are maintained and made available for transactional, regulatory, and other due diligence purposes.
 
  • In connection with Board activities, preparing corporate affidavits and incumbency certifications and maintaining, signing and certifying corporate documents requiring a corporate representative's signature in accordance with organizational documents, bylaws and legal requirements.
 
  • Tracking Board member meeting attendance and coordinating with Finance Department to ensure proper payments of Board member compensation. 
 
  • Facilitating annual Board charter reviews, self-assessments, and director and officer questionnaire collection and processing.
 
  • Researching and undertaking ongoing professional development to stay current with corporate governance and corporate secretarial functions and services.

Qualifications:
 
  • Bachelor’s degree in Business or related field required; Juris Doctor degree or Paralegal certification preferred.
  • Minimum 10+ years’ experience working in a corporate legal and governance environment, with emphasis on working with executive leadership and sensitive and confidential information.
  • Knowledge of Board-related SEC and NYSE regulations related to public companies, as well as corporate recordkeeping requirements or best practices relevant to OCC-regulated financial institutions.
  • Ability to write minutes that meet high industry standards, consistently meeting deadlines, seeking guidance when necessary or appropriate, and following through.
  • Ability to work effectively both in teams and independently, manage multiple projects, make effective decisions, and collaborate with internal clients.
  • Ability to work in a fast-paced environment with minimal supervision.
  • Strong communication skills.
  • Experience providing administrative and governance support for directors and senior executives.
  • Expertise in Microsoft Office Suite and ability to create board-level materials
